These Terms and Conditions (“Terms”) govern your access to and use of Openagent (“Openagent”, “we”, “our”, or “us”), a platform that enables real estate agents to create public profile pages and publish property listings online.

By accessing or using Openagent, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into binding agreements to use Openagent.

You are responsible for maintaining the accuracy of your account information and for all activity that occurs under your account. You must ensure that your login credentials are kept secure.

If you use Openagent as a real estate agent, broker, or other real estate professional, you are responsible for ensuring that your use of the Service complies with all professional, licensing, advertising, and regulatory obligations applicable to you.

2. Use of the Service

Openagent allows users to create public-facing pages that may include profile information, contact details, and property listing content.

You agree to use the Service only for lawful purposes and in a manner that does not violate these Terms.

3. User Content and Listing Responsibility

You retain responsibility for the information, text, images, contact details, and listing content that you upload, publish, or otherwise make available through Openagent (“User Content”).

You represent and warrant that:

• You have the right to publish the User Content you submit
• Your User Content is accurate, current, and not misleading
• Your User Content does not infringe any third-party rights
• Your listings and profile information comply with applicable law and industry requirements

Openagent may remove or restrict content that we reasonably believe violates these Terms, applicable law, or the rights of others.

4. Public Nature of Listings and Profiles

Pages and listings published through Openagent are intended to be publicly accessible. Content you choose to publish may be viewed by visitors, shared by others, and indexed by search engines.

You should not publish any information that you do not want to be publicly available.

5. Compliance With Real Estate Advertising Rules

Openagent is a publishing platform only. We do not obtain advertising approvals, broker permits, or listing permits on behalf of agents, brokers, or agencies.

If you advertise real estate in Dubai through Openagent, you are fully responsible for obtaining any required Dubai Land Department (“DLD”), Real Estate Regulatory Agency (“RERA”), or Trakheesi advertising approvals before publication, including any permit required for the relevant advertisement.

You are also fully responsible for accurately entering the correct permit number in Openagent’s Permit Number input field for Dubai listings and for ensuring that your advertisement displays or is supported by any other required compliance information under applicable Dubai rules.

For listings or advertisements outside Dubai, you remain fully responsible for complying with all applicable emirate-level, municipal, broker, licensing, advertising, and consumer protection requirements in the jurisdiction where the property is offered.

6. Payments and Paid Features

Certain features of Openagent may require payment. Payments are processed by a third-party payment provider, Polar (polar.sh).

By purchasing a subscription or paid feature, you authorize the applicable charges and agree that payment processing is subject to the third party’s terms and policies. Openagent does not store full payment card details.

Unless otherwise stated, fees are non-refundable except where required by law.

7. Prohibited Conduct

You may not use Openagent to:

• Publish false, deceptive, or unlawful listings
• Upload content you do not have the right to use or publish
• Misrepresent your identity, qualifications, or authority
• Interfere with the operation, security, or integrity of the Service
• Attempt to gain unauthorized access to accounts, data, or systems
• Use the Service to spam, scrape, harass, abuse, or defraud others

8. Service Availability

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

Openagent is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, error-free operation, or that the Service will always meet your specific needs.

9. Disclaimer

Openagent does not act as a real estate broker, agency, legal adviser, regulator, or compliance service provider. We do not verify the legality, accuracy, licensing status, or regulatory compliance of listings or user-submitted content.

Any decision to publish, view, contact, transact with, or rely on a listing or profile is made at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, Openagent and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or reputation arising out of or related to your use of the Service.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to Openagent, if any, in the 12 months preceding the event giving rise to the claim.

11. Indemnity

You agree to defend, indemnify, and hold harmless Openagent and its affiliates, officers, employees, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

12. Suspension and Termination

We may suspend or terminate your access to Openagent at any time if we believe you have violated these Terms, created risk for other users or third parties, or exposed Openagent to legal or regulatory risk.

You may stop using the Service at any time. Termination does not affect any rights or obligations that accrued before termination.

13. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the Service after the updated Terms become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws applicable in the United Arab Emirates, without regard to conflict of law principles, unless otherwise required by applicable law.
